Northern Venture Trust PLC (“Company”) announces that on April 3, 2025 he allocated 24,216,029 ordinary actions of 25p each for the offer of new common actions in fiscal year 2024/25, according to the prospect published on January 9, 2025 (“Prospectus”). According to the price formula stipulated in the prospectus, the new ordinary shares were issued at prices between 60.92 pence per share and 64.53 pence per share, depending on the level of promoter tax and the counselor tax (if applicable) regarding each request.

The offer was completely subscribed, and the aggregate of subscription amounts paid to the company according to the offer, a net applicable fees and counseling fees, was 14,554.188.46 pounds. Following the above allocation, the company now has 221,423,975 ordinary actions in problems.

A request will be made at the first opportunity practicable for the new ordinary actions, which will clarify Parks Passu with the usual existing actions, to be admitted to the official list of the Financial Conduct Authority (“FCA”) and to trading on the London Stock Exchange for Listed securities, and the transactions will start or around 2025.

In accordance with the FCA orientation and transparency rules (“DTRS”), the company notifies the market that the company’s capital is made up of 221,423,975 ordinary shares with a nominal value of 25p each. All ordinary actions have voting rights. The company does not hold any ordinary acts in the treasury. Therefore, the total number of voting rights within the company is 221,423,975 (“figure”). The figure can be used by a shareholder or other person as a denominator for the calculations by which they will be asked to notify the voting rights they own in relation to the company or a modification of these voting rights, in accordance with DTRS.

The terms defined in this ad make the same sense as in the prospectus.
