Stimulation program based on action 2025

Trifork Group AG (“Trifork”) awarded restricted units (“RSU”) within the long -term long -term stimulation program (“ELTIP”), approved by the Board of Directors in 2021.

The second Eltip 2025 (“Eltip 2025b”) covers the subsidy in March 2025 to the Executive Manager of the Trifork Group.

ELTIP 2025B is based on the RSU and the variable remuneration of the executive management for its performances in the financial year 2024.

The number of RSU A total of 14,653 RSU is allocated within ELTIP 2025B.
The number of RSU is calculated by taking the respective variable remuneration amount and applying the weighted average price for Trifork shares of the last three trading days of 2024.
grant The RSUs contained by Eltip 2025b are granted in March 2025.
inauguration The RSs will be invested for a period of three years, with 1/3 of the RSs that fall every year. The announcement is not conditioned by the achievement of financial or non -financial targets, but it is conditioned by the participating employee who remained employed with the Trifork group during the investment period or has become a good performance during the award period, as well as of a participating employee, who in all respect with ELTIP 2025B conditions.
Objective Attraction and preservation of employees in selected jurisdictions.
Conversion Once invested and is not in accordance with ELTIP 2025B terms and conditions, each RSU will give the holder to receive a trifork quota.
terms The RSUs are granted on the basis of the conversion of the respective variable remuneration for each participating employee.
ELTIP 2025B is subject to ordinary conditions.
Allocation and theoretical value The allocation is based on the weighted average price of the action of the last 3 trading days of 2024 (DKK 75.08). The division of the conversion salary with this amount leads to granting the number of RSUs. Conversion of total amounts to 1,100.154 DKK (147,477 EUR) and 14,653 RSU.
The theoretical value for the RSU is the market price of the Trifork quota at the time of granting, minus the dividends envisaged for the portions that fall after one, two and three years.
